Job Description

A leading consulting firm in the Memorial City area of Houston, TX is seeking a Corporate Paralegal to join their growing team. Starting compensation is $70,000 - $75,000 depending on experience.

Qualifications:

• 2+ years experience redlining contracts
• Paralegal Certification or equivalent legal experience

Responsibilities:

• Review, redline, and assist in the negotiation of a variety of commercial contracts, including NDAs, MSAs, SOWs, vendor agreements, and licensing agreements.
• Collaborate with internal stakeholders (e.g., procurement, sales, finance) to ensure contract terms align with company policies and risk tolerance.
• Maintain and manage the contract lifecycle using contract management systems.
• Assist with corporate governance tasks, including entity formation, annual filings, and board resolutions.
• Conduct legal research and prepare summaries or memos as needed.
• Support due diligence efforts for mergers, acquisitions, or other corporate transactions.
• Ensure compliance with internal policies and applicable laws and regulations.
• Maintain organized and up-to-date legal files and documentation.
